These Terms of Use ("Terms") govern your access to and use of the websites operated by ToyBox Consulting & Management, LLC, a Washington limited liability company ("ToyBox," "we," "us"), including:

and any related event landing pages, microsites, and embedded content (collectively, the "Sites"). By using the Sites you agree to these Terms. If you do not agree, do not use the Sites.

1. Who we are

The personal-brand site www.katoyapalmer.com showcases work by Katoya Raquell Palmer and is operated under the same entity. Editorial content on katoyapalmer.com expresses Ms. Palmer's personal views and does not represent any board, employer, or government entity to which she has been appointed.

2. Eligibility

You must be at least 13 years old to use the Sites. If you are between 13 and 18, you must have your parent or guardian's permission. By using the Sites you represent that you have legal capacity to enter into these Terms.

3. The Services and content on the Sites

The Sites describe consulting services, workshops, events, and editorial content. Nothing on the Sites is legal, financial, tax, medical, or mental-health advice. Engagements with ToyBox are governed by a separate written agreement; rate ranges shown on the Sites are illustrative and subject to scope, deliverables, and final engagement terms.

The "Mindfulness in the Middle" content on www.katoyapalmer.com is for educational and reflective purposes only. It is not therapy, medical treatment, or a substitute for care from a licensed clinician.

4. Account, registration, and submissions

If you submit content through email forms, contact us, RSVP, or submit performer/vendor/sponsor inquiries, you confirm that the information is accurate and you have the right to submit it. You grant ToyBox a non-exclusive, royalty-free license to use submitted content for the purpose of responding to the inquiry and operating the Services. We may, but are not required to, review submissions and may decline or remove any submission at our discretion.

5. Intellectual property

All Site content — text, graphics, logos, photographs, video, design, and arrangement — is owned by or licensed to ToyBox and protected by US and international IP laws. The names "ToyBox," "ToyBox Consulting & Management," "Golden Hour Unboxed," "Five Windows," "Mindfulness in the Middle," "SZND," and "Lipstick on My Fork" are trademarks or service marks of ToyBox or Ms. Palmer (registration status varies). You may not use them without our written permission.

You may view, download, and print Site content for personal, non-commercial use, with all copyright and proprietary notices intact. Any other use — including reproduction, distribution, modification, public display, or creation of derivative works — requires our prior written consent.

6. Acceptable use

You agree not to:

Use the Sites for any unlawful purpose or in violation of any law;
Harass, abuse, impersonate, or harm any person;
Scrape, harvest, or collect data from the Sites without our written permission;
Reverse-engineer, decompile, or attempt to extract source code beyond what GitHub Pages makes publicly available;
Interfere with security, integrity, or availability of the Sites;
Use automated systems (bots, crawlers) that send more requests than a human reasonably can.

7. Third-party services and links

The Sites contain links and embeds to third-party services including Calendly, Eventbrite, Substack, Vimeo, Google Analytics, Microsoft Clarity, Microsoft Advertising, Albacross, LinkedIn, TikTok, Instagram, and Cloudflare. Use of those services is governed by the third party's terms and privacy policy. We are not responsible for their content or practices.

8. Events (Golden Hour Unboxed and others)

Public events are operated under separate event terms which may include venue rules, photo/video release, code of conduct, and admission policies. RSVPing or attending an event constitutes acceptance of those event terms in addition to these Terms.

The "Pack-the-Box" community giving initiative is a non-monetary in-kind donation drive. Contributions are not solicited as charitable contributions for tax purposes unless a qualified 501(c)(3) partner is named in writing on the event landing page; contact us for the partner's current status.

9. Endorsements, testimonials, and claims

Quotes, testimonials, and performance claims on the Sites reflect specific persons' experiences and are not promises of similar results. Where Katoya is quoted or featured, the statement reflects her own opinion. Where third-party logos, organization names, or endorsements appear, they reflect documented partnerships or recognition; if you have questions about the basis, email us.

10. Disclaimers

THE SITES AND THEIR CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SITES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Nothing in these Terms limits any warranty that cannot be lawfully disclaimed under Washington law.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TOYBOX, ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITES WILL NOT EXCEED ONE HUNDRED US DOLLARS ($100) OR THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

12. Indemnification

You will indemnify, defend, and hold harmless ToyBox and its members, officers, employees, contractors, and agents from any claim, loss, damage, cost, or expense (including reasonable attorneys' fees) arising from your violation of these Terms, your misuse of the Sites, or your violation of any law or third-party right.

13. Termination

We may suspend or terminate your access to the Sites at any time, with or without notice, including for violation of these Terms.

14. Governing law and venue

These Terms are governed by the laws of the State of Washington, USA, without regard to its conflict-of-laws principles. Any dispute will be brought exclusively in the state or federal courts of King County, Washington, and you consent to personal jurisdiction and venue there.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted with a revised effective date and, where appropriate, additional notice on the Sites.

16. Miscellaneous

These Terms, together with the Privacy Policy and any event-specific terms, are the entire agreement between you and us regarding the Sites. If any provision is found unenforceable, the rest will remain in effect. Our failure to enforce a provision is not a waiver of our right to do so later. You may not assign these Terms; we may.
